Each year, we conduct Board of Director elections at our Annual Meeting,
and each member is eligible to vote. This year's annual meeting will
take place on February 20, 2014, at our St. Louis Park Headquarters.
Should you be unable to attend the annual meeting, you may fill out a
form designating the President as your proxy. Simply follow this link
, fill out the form, and return the form to us by email
or regular mail.
PLEASE NOTE: The proxy will be voted in the discretion of the President and for each of the Board recommended nominees whose names appear below unless you provide different written instructions on the face of the proxy. If you desire to vote for the petitioners' nominees whose names appear below, or any one of them, you must indicate that instruction in writing on the face of the proxy. You may also indicate by written instruction on the face of the proxy that the term of the proxy will terminate upon completion of the 2014 Annual Meeting (rather than three years).
Members of the board are elected to three year terms, and it is our responsibility to publish the names of these candidates, submitted by the Nominating Committee. The Board of Directors are elected to represent the best interests of our members, and this notice is being sent to you as a step in our obligation to the members of our organization.
This year's Annual Meeting will be held at 4:00 p.m., on February 20, 2014, at the AAA Minneapolis headquarters in St. Louis Park, Minnesota. Members of record on December 27, 2013 are entitled to vote in person or by proxy at the meeting. You can vote in person by attending the Meeting. You can also vote by proxy by filing a written appointment of a proxy, signed by you, with an officer of AAA at or before the meeting. If you have already provided a proxy to AAA, it will be voted accordingly unless revoked prior to the meeting.
Martha M. Head
(AAA member for 53 years) is Chief Executive Officer of Ceann Company, LLC., a family office formed in 2011 to oversee and manage Martha's extensive business, philanthropic interests. Martha's portfolio of businesses includes short-line railroads serving the upper Midwest, mini-storage facilities, Dairy Queen stores, and commercial and residential housing development and management. Martha has served on the board of directors of the Woman's Club of Mpls., Hennepin County Historical Society, Greater Minneapolis Girl Scout Council, Minneapolis YWCA, United Way of Minneapolis, Children's Theater, Homeward Bound, Hennepin Lake Improvement Association and the Jr. League of Minneapolis. She is currently on the board of the AAA Minneapolis where she once held the Chair of the Board as the 1st woman in that position. Martha and her late husband, Doug Head founded the Head Family Foundation in 2005. The Foundation has been especially active in community projects, health and human services for children and elderly, the arts and education. Martha and Doug have two daughters; Martha E. Head (known as M.E.) Kirwan (married to Chris Kirwan) and Virginia (Ginny) Head.
(AAA member for 15 years) is president of Lilja Inc. ("Lilja Communications") (http://www.lilja.com
), the firm she founded in 1988 to help companies, nonprofit organizations, families and individuals share their stories. She has 35 years of experience developing and directing internal and external public relations programs, and writes, produces and publishes clients' life stories through Lilja Press. Her business articles and observations about life have been published in Minnesota Business, Star Tribune, Minnesota Women's Press and St. Paul Pioneer Press. She was named an Industry Leader at Minneapolis/St. Paul Business Journal's 2011 Women in Business Awards. She serves on the boards of AAA Minneapolis and Episcopal Homes.
Albert Miller, Jr.
(AAA member for 11 years) is a retired Financial Consultant, American Express, John Hancock and Allianz. He is a former Board chair and Chair of the Finance and Investment Committee. Miller is a current member of the Board and has been a AAA Minneapolis member for 11 years. Prior to his career in financial consulting, he was a Financial Manager for General Mills, Xerox, Honeywell and Dayton Hudson. Miller has an MBA and is licensed in insurance and financial securities. Miller currently serves as Chair of the Finance Council for the Pax Christi Catholic Community and is in his 14th year as a Eucharistic minister. He has served on numerous boards and committees, including Chair, This is Your Life Program, the Boy Scouts of America, the Harriet Tubman Center, and the United Way Allocations Panel. Miller is a founding member and served as a National Vice President of the National Black MBA Association, and President of that organization's Twin Cities Chapter. He and his wife of 42 years, Michelle Miller, have two adult children.
(AAA member for 5 years) is the vice president of sales and marketing for Japs-Olson Company (www.japsolson.com
) in St. Louis Park, Minnesota. Prior to becoming vice president, Monica worked in sales and customer service for the Company. Monica has participated in the Company's strategic planning initiatives including sales strategies, equipment purchasing and public relations. In addition to being a member of the board of directors, Monica has served on several of the board committees and serves as the corporate secretary for the organization. In addition to serving on the AAA Minneapolis Board of Directors, she is also a board member of Printing Industry of the Midwest - PIMW (2009- present), Children First Initiative, St. Louis Park, MN (2006-present), Past President of the St .Louis Park Rotary Club (2003-04), and Chairperson of the Rotary District 5950 Conference (2003, 2007). She has been honored as a Prime Time Superstar award- Printing Impressions Magazine and Graphic Arts Industry Leader of the Year award-Printing Industry Midwest.
Our Bylaws also allow for nomination of board members by petition of the members. On December 31, 2013, we received petitions from members nominating four candidates for consideration at the AAA 2014 Annual Meeting of Members. One of the petitioner nominees has withdrawn from consideration. The other petitioner nominees are listed below:
(joined as a AAA member on Dec. 13, 2013) is Director of Traffic Management Systems for HDR, Inc. He is a global leader in traffic safety, managed lanes and Intelligent Transportation Systems (ITS). Arseneau is past Deputy Commissioner and Chief Engineer of the Minnesota Department of Transportation. He has served as Chair of the AASHTO Sub Committee on Traffic Engineering, Vice Chair of the AASHTO Standing Committee on Performance Management, and was a member of the AASHTO Standing Committees on Highways and Highway Traffic Safety. Arseneau was a co-founder of Minnesota's Toward Zero Deaths initiative and is an active traffic safety advocate. With a Bachelor's degree in Civil Engineering from the University of Minnesota, Arseneau is a registered Professional Engineer and a Professional Traffic Operations Engineer. He and his wife, Julie, have three adult sons.
(joined as a AAA member on Jan. 3, 2013) is a Pediatric Nurse Practitioner specializing in children with special health care needs. Michelle believes in multidisciplinary approach to care where providers, patients, and families work together for the betterment of the patient. She enjoys teaching children and adolescents ways to take charge of their health while enhancing self-care abilities. Michelle received the Minneapolis/St. Paul Magazine's Outstanding Nurses Award in 2012. She received her Bachelor of Science in Nursing from the University of Wisconsin Eau Claire and also earned her Master's of Science degree from the University of Minnesota-Twin Cities in 2007. She attained a graduate minor in Complementary Therapies and Healing Practices from the Center of Spirituality & Healing and has a Certificate in Disability Policy and Services. She lives in Eden Prairie and enjoys traveling in addition to various outdoor activities including boating, biking, snowshoeing and skiing. Board Certification - Pediatric Nurse Practitioner - Primary Care (PNCB).
(reinstated as a AAA member on Dec. 3, 2013) is the Event Director of 30 Days of Biking, an annual, social media-centric bicycling challenge, and the Cafe Manager and Head Philosopher at Freewheel Midtown Bike Center, a cyclist enclave on Minneapolis' Midtown Greenway. Macaruso is the antithesis of the surly bike shop stereotype, welcoming and friendly where others are smirking and judgmental. He is friendly, smiling, and ready to answer your bike questions and nurture your pedal knowledge. Macaruso is a practitioner of what he preaches. He knows streets and traffic patterns inside and out, and he can identify problems in a city's bicycling infrastructure and figure out how to solve them. In his professional life, he prides himself on being a cross-cultural communicator, believing that cycling is a both a vehicle on the road (as defined by the law) and a vehicle to a better life. Macaruso acknowledges the tension between motorists and cyclists but seeks to ease it, smooth it down, and make everybody more accepting of sharing the road. In short, he wants to build a more harmonious world for all.
